UAII Board Member Recruitment Announcement
The United American Indian Involvement (UAII) is seeking new members for its Board of Directors. The UAII Board of Directors provides oversight and counsel on planning and policy development, financial oversight, and resource development.

 

ABOUT UAII

Mission Statement
To promote and support the physical, behavioral, and spiritual well-being of American Indian/Alaska Natives in the urban Los Angeles area by providing comprehensive, integrated services that focus on all age groups and incorporate American Indian/Alaska Native cultures and traditions.

Vision Statement
UAII will provide quality physical and behavioral health, education, and social support services that promote healthy lifestyles and individual responsibility in order to strengthen American Indian/Alaska Native communities, now and for future generations. All services will integrate traditions, practices, and beliefs, be culturally sensitive and respectful of American Indian/Alaska Native tribal affiliation.

 

BOARD RESPONSIBILITIES

The Board of Directors (Board) will support the work of United American Indian Involvement, Inc. (UAII) and provide mission-based leadership and strategic governance. While day-to-day operations are led by UAII’s Leadership (Chief Executive Officer, Chief Medical Officer, and Chief Financial Officer), the Board / Leadership relationship is a partnership. The appropriate involvement of the Board, as described in the bylaws, is both critical and expected. As the entrusted leadership body of UAII and to satisfy its fiduciary duties, the Board is responsible for the following:

●        Managing the mission, vision, and purpose of UAII

●        Selecting, advising, and evaluating the performance of the C-Suite Level Executives

●        Strategic and organizational planning

●        Approving and monitoring the viability of UAII’s programs and services

●        Ensuring strong fiduciary oversight and financial management

●        Approving UAII’s annual budget, and material business decisions

●        Fundraising and resource development

●        Enhancing and promoting UAII’s public image

●        Assessing its performance as the governing body of UAII

 

 

RESPONSIBILITIES OF INDIVIDUAL BOARD MEMBERS

Specific Board Member responsibilities include:

●        Understanding the mission, vision, and purpose of UAII

●        Contributing to the ongoing coaching and performance evaluation of the CEO

●        Attending, preparing, and actively participating in monthly Board and strategic planning meetings

●        Serving on committees or task forces, and taking on special assignments

●        Comprehending and adhering to UAII’s bylaws, policies, and all legal and fiduciary responsibilities

●        Understanding financial statements or committing to learning about non-profit financial oversight

●        Serving as an active advocate and ambassador for UAII by leveraging connections, networks, and resources to benefit UAII public standing

●        Committing to professional development by attending mandatory Board training and additional training and conferences hosted by other organizations

●        Identifying and securing the financial resources and partnerships necessary for UAII to advance its mission

●        Ensuring Board resolutions are carried out

●        Maintaining confidentiality about all UAII internal matters

 

 

BOARD TERMS

●        UAII Board Members serve a 3-year term and are eligible for reappointment

●        Board meetings are held monthly, generally on the third Monday of the month

●        Special Meetings, Committee meetings and Board training are held as deemed necessary by the Board

 

QUALIFICATIONS

 

This is an excellent opportunity for an individual who is passionate about UAII’s mission and has a proven track record in leadership. Ideal candidates will have the following qualifications:

●        A professional reputation that enhances UAII’s reputation and strengthens the Board’s role in supporting the organization’s mission.

●        A clear understanding of governance and the importance of shared understanding with management about accountabilities and decision-making processes.

●        A sufficient knowledge of managing a growing organization in a rapidly changing environment to provide substantive advice.

●        Demonstrated experience working with American Indian/Alaska Native communities, organizations and/or tribal governments.

●        Ability to easily use email and other technology such as cloud services.

●        Commitment to open and honest communication with the ability to have critical, candid conversations.

●        Candidates identifying as American Indian/Alaska Native must be from a Federally Recognized Tribe and be prepared to show proof of citizenship.

 

 

BOARD TREASURER

In accordance with organizational bylaws, the Treasurer is primarily responsible for overseeing the organization’s finances. In addition to the Board Member-at large responsibilities, the Board Treasurer has the following responsibilities:

 

Overseeing all revenues and expenses and creating financial statements (balance sheet, income statement, and cash flow statement); communicating this information to the Board on a quarterly basis.
Working with the UAII finance department and Board to create UAII’s budget draft and seeks approval from the Board on the annual budget.
Ensuring development and Board review of sound fiscal policies and procedures.
Overseeing any financial agreements.
Participating in revenue generation activities including cultivation and stewardship.
Serving as the Chair of the Finance Committee where applicable.
Providing oversite for the annual tax forms, as required by the State or the IRS and in cooperation with the Board Officers.
Providing a full financial report to the Board of Directors annually.
BOARD SECRETARY

The Secretary is primarily responsible for coordinating the recording of Board meeting minutes and maintaining organizational documents and records. In addition to the member-at-large responsibilities and in accordance with the organizational bylaws, the Secretary shall be responsible for:

Maintaining Board records and ensuring effective management of the organization’s records.
Managing Board meeting minutes: Collect and send a draft of the minutes to the Chair for approval and then send on to the rest of the Board. Minutes should reflect the activities of meetings in an objective manner, without unnecessary commentary. They should include the following information:
Who is present and absent
Agenda
Items discussed
Key issues raised
Votes and action items and
Any other relevant information
Ensuring minutes are distributed to Board Members shortly after each meeting.
Maintaining sufficient familiarity with legal documents (articles, by-laws, IRS letters, etc.) to reference when necessary in Board meetings.
Maintaining a chart of term starting and ending dates for each Board Member.
Working with the Chief Executive Officer to ensure all decisions and documents are consolidated and filed securely.
BOARD OPENINGS

We currently have 4 Board Member openings; a preference will be given to individuals with expertise in accounting, health, human resources, education, Tribal governance, Native community-based organizations, and demonstrated experience working in American Indian /Alaska Native/Native Hawaiian communities.
